1. Agreement to Terms

By accessing our website at priyansh.space, contacting us for services, or purchasing any product, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them along with our Privacy Policy and Refund & Cancellation Policy.

2. Services & Products

We offer the following categories of services and digital products:

• AI Integration Services — Integration of AI/ML models (LLMs, RAG, agents) into existing business workflows and applications.
• Custom Software Development — Full-stack web applications and backend systems built with modern frameworks.
• Digital Products — Pre-built automation scripts, tools, templates, and AI application packages.
• Consulting — Technical consulting on AI strategy, architecture, and implementation.

All services are delivered remotely. Scope, deliverables, and timelines for custom projects are defined in a written agreement or proposal shared prior to payment. We reserve the right to decline any project at our sole discretion.

3. Payment Terms

Custom Development Services

For custom projects, payment is typically structured as:

• 50% advance payment required before project commencement
• Remaining 50% due upon project completion and delivery
• For larger projects, milestone-based payment schedules may be agreed upon in writing

Digital Products

Digital products require full payment upfront before access or download is granted. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

Payment Methods

We accept payments via Razorpay, which supports UPI, credit/debit cards, net banking, and wallets. All transactions are processed securely through Razorpay's payment gateway. We do not store your payment information.

Invoices will be issued upon payment. GST may be applicable based on applicable Indian tax laws.

4. Delivery & Timelines

Estimated delivery timelines are communicated during the proposal stage and confirmed in writing before project start. Timelines are estimates and may be affected by:

• Delays in client-provided information, access, or feedback
• Scope changes requested after project commencement
• Third-party API or service outages beyond our control

For digital products, delivery is electronic — via email, download link, or shared repository — typically within 24 hours of confirmed payment. Custom timelines are project-specific and agreed upon in writing.

5. Intellectual Property

Our Content

All content on this website, including text, designs, graphics, code, and brand elements, is the intellectual property of Priyanshu Sahu and is protected under applicable Indian copyright law. You may not reproduce, distribute, or create derivative works without explicit written permission.

Work Delivered to Clients

Upon receipt of full payment, intellectual property rights for custom-built deliverables transfer to the client, unless otherwise specified in the project agreement. Any third-party libraries or open-source components used remain subject to their respective licenses.

We retain the right to showcase completed projects in our portfolio unless the client explicitly requests confidentiality in writing prior to project start.

6. Acceptable Use

By using our services, you agree that you will not:

• Use our services for any unlawful purpose or in violation of applicable laws
• Use AI automation services built by us to spread misinformation, spam, or engage in fraudulent activity
• Attempt to reverse engineer, decompile, or resell digital products without authorization
• Misrepresent your identity or provide false information during the engagement
• Engage in activities that could harm our reputation or the reputation of third-party platforms integrated into our solutions

7. Disclaimers

Our website and services are provided on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, regarding:

• The uninterrupted or error-free operation of any software or automation system delivered
• The accuracy or completeness of AI-generated outputs, which should be reviewed by the client before use
• Specific business results, ROI, or performance metrics from automation or AI systems
• The availability or performance of third-party APIs and services (e.g., OpenAI, Google Cloud, WhatsApp) integrated into delivered solutions

AI-generated outputs may require human review before use in production or client-facing environments. We recommend thorough testing of all delivered systems before deployment.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Priyanshu Sahu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from:

• Your use or inability to use our services or products
• Any errors or inaccuracies in AI-generated content or automation outputs
• Unauthorized access to or alteration of your data
• Conduct of third-party service providers integrated into our solutions

Our total liability for any claim arising from a specific project or product shall not exceed the total amount paid by you for that specific service or product.

9. Termination

Either party may terminate a service engagement by providing written notice. In the event of termination:

• Work completed up to the termination date will be invoiced proportionally
• Refunds, if applicable, will be processed as per our Refund & Cancellation Policy
• All confidential information shared during the engagement must be returned or destroyed

We reserve the right to suspend or terminate access to our services immediately if a client is found to be in violation of these Terms.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, specifically applicable in the state of Madhya Pradesh. Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Bhopal, Madhya Pradesh, India.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
